By accessing or using Subtube (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Subtube ("we," "us," or "our") regarding your use of the Service.

1.1 Age Requirement

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service.

2. Service Description

Subtube provides an API service that extracts subtitles and transcriptions from YouTube videos. The Service is provided on a subscription basis with various pricing tiers.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms during your subscription period.

3. User Account and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account by providing:

  • A valid email address
  • Authentication credentials
  • Any other information as required during registration

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.

4. Acceptable Use and Prohibited Activities

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Use the Service to extract transcripts from YouTube videos without having lawful rights or authorization to access such content. You are solely responsible for ensuring your use of the Service complies with YouTube's Terms of Service and applicable copyright laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use automated systems (including bots, scrapers, or spiders) except through our official API
  • Use browser automation tools (such as Selenium, Puppeteer, Playwright) or programmatic access methods outside of our official API without explicit written authorization
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Remove, circumvent, disable, or interfere with security features
  • Share, resell, or redistribute API keys or access credentials
  • Use the Service to transmit viruses, malware, or other malicious code
  • Harass, abuse, or harm other users
  • Extract transcripts from YouTube videos without proper authorization from content creators or rights holders, where required by law
  • Infringe upon intellectual property rights of YouTube, content creators, or any third party
  • Exceed API rate limits or abuse the Service in ways that cause system degradation
  • Use the Service outputs to develop, train, optimize, or improve competing speech-to-text or transcription models or services

5. Intellectual Property Rights

5.1 Subtube Intellectual Property

The Service, including all software, code, designs, text, graphics, logos, and other materials, is owned by Subtube and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved.

5.2 Your Content

You retain all ownership rights to any content you submit to the Service, including video URLs and requests. However, you grant us a worldwide, non-exclusive, royalty-free license to process, transmit, and store such content solely for the purpose of providing the Service to you.

5.3 Transcripts and Subtitles

Transcripts and subtitles extracted by the Service are derived from YouTube's content. You are responsible for complying with YouTube's Terms of Service and respecting content creators' intellectual property rights when using such materials.

5.4 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

6. Data Usage and Processing

6.1 Service Provision

We collect and process data necessary to provide the Service, including video URLs, API requests, and usage statistics. This data is used to fulfill your requests and improve our Service.

6.2 Aggregated Data

We may use anonymized and aggregated data derived from your use of the Service for analytics, research, and service improvement purposes. This data cannot identify you personally.

6.3 AI Model Training

We do not use your video URLs, API requests, or any content you submit through the Service to train or improve AI models. The transcripts and subtitles extracted from YouTube are sourced from YouTube's existing data and are not stored or used by us for machine learning purposes beyond providing the Service to you.

6.4 User Consent

You warrant that you have obtained all necessary consents and permissions to request transcripts for any YouTube content you submit through the Service, in compliance with applicable laws and YouTube's Terms of Service.

7. Subscription Plans and Payment

7.1 Pricing

Subscription plans and pricing are available on our website. We reserve the right to modify pricing with reasonable notice to existing subscribers.

7.2 Payment Terms

We use Paddle.com as our Merchant of Record. Paddle handles all payment processing, tax collection, and compliance on our behalf. Your payment information is collected and processed by Paddle, not by Subtube.

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Payment is due immediately upon subscription or renewal.

7.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support.

7.4 Refunds

Subscription fees are generally non-refundable except as required by law. We may provide refunds at our sole discretion in the following circumstances:

  • Within 24 hours of initial payment if you experience technical issues that prevent Service access and we are unable to resolve them
  • In cases of billing errors or duplicate charges
  • When required by applicable consumer protection laws

We do not provide refunds for partial billing periods, unused API credits, change of mind after purchase, or services already rendered. Upon cancellation, your paid subscription will remain active until the end of the current billing period.

7.5 Usage Limits and Fair Use

Each subscription plan has usage limits as specified on our pricing page. If you exceed your plan's limits, you may be required to upgrade to a higher tier or pay overage charges where applicable.

For plans advertised as "unlimited," this means unlimited reasonable use within the scope of normal business operations. Excessive usage that impacts Service performance or availability for other users may be throttled, restricted, or subject to additional review. We reserve the right to enforce fair use policies at our discretion.

8. Service Availability and Modifications

8.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

9. Disclaimers and Limitations of Liability

9.1 Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will meet your requirements, that transcripts will be accurate or complete, or that the Service will be error-free, secure, or available at any particular time.

9.2 Limitation of Liability

To the maximum extent permitted by law, in no event shall Subtube be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, whether arising from contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

9.3 Transcript Accuracy

Transcripts extracted from YouTube may contain errors, omissions, or inaccuracies. We do not guarantee the accuracy, completeness, or quality of any transcripts obtained through the Service. You are responsible for verifying the accuracy of transcripts for your use case.

10. Indemnification

You agree to indemnify, defend, and hold harmless Subtube, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or contacting support. Upon termination, your access to paid features will continue until the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

11.3 Effect of Termination

Upon termination of your account:

  • Your license to use the Service immediately ceases
  • Any outstanding fees become immediately due and payable
  • We may delete your account data and API keys
  • Provisions of these Terms that by their nature should survive termination will remain in effect

12. Dispute Resolution and Arbitration

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Subtube is registered, without regard to conflict of law principles.

12.2 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

12.3 Binding Arbitration

If informal resolution fails, any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be conducted by a neutral arbitrator in accordance with applicable arbitration rules. The arbitrator's decision will be final and binding.

12.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Subtube individually. To the full extent permitted by law, you waive any right to participate in a class action, class arbitration, or any claims brought in a representative capacity.

12.5 Opt-Out

You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms.

13. Export Controls and Compliance

The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations in your use of the Service. You represent that you are not located in a country subject to comprehensive sanctions and that you are not on any list of prohibited or restricted parties.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Subtube regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
